RANCH HAND MARKETING, LLC SERVICE TERMS AND CONDITIONS: TURNKEY WEBINAR

Last updated: October 26, 2026

These Service Terms and Conditions (these "Terms") govern the webinar and virtual event planning and production services provided by Ranch Hand Marketing, LLC ("Provider") to the business purchasing a Turnkey Webinar package ("Client"). By checking the box and completing a purchase, Client agrees to these Terms.

1. TURNKEY WEBINAR TERMS

Fee. $10,000 management fee per webinar, less any promo code discount applied at checkout.

Payment. The management fee is paid in full at checkout. Any additional fees and Carried Costs described below are invoiced separately, and Client agrees to pay each invoice within thirty (30) days of the invoice date.

Not included. The management fee does not include webinar platform licenses or upgrades, speaker or moderator fees, captioning or translation services, attendee gift or swag shipments, third party promotion services, or any other third party costs. These are paid directly by Client or, if Client elects the Cost Carry Option, invoiced by Provider.

Services. Provider will plan and run the webinar from start to finish, including: recommending the format and run of show; setting up and testing the webinar platform; building the registration page; guest invitations, reminder emails, and registration tracking; coordinating speakers, including a technical check and rehearsal before the live date; producing the live session and managing attendee questions; delivering the recording to Client after the webinar; and a post event thank you note to attendees, with the on demand link and Client's sales team copied.

Event details. After purchase, Provider will send Client a Statement of Work ("SOW") through HoneyBook confirming the webinar date, start and end times, platform, speakers, target audience, and topic.

Guest invitations and promotion. Provider does not maintain or provide a contact database for invitations. Client will supply its own invite list. At Client's request, Provider can source third party promotion services to target net new registrants based on Client's audience and interests. These services are an additional cost and will be approved by Client in writing before purchase.

Registration reporting. Provider will share registration and attendance contact details with Client in real time where platform integrations exist (such as Client's CRM or marketing automation platform), or otherwise on a weekly basis.

Platform and vendors. Provider will get Client's written approval before entering into any binding contract or paying for any platform license, upgrade, or third party service. Unless Client elects the Cost Carry Option, Client is responsible for entering into and paying all third party agreements.

Cost Carry Option. Client may elect for Provider to carry costs on Client's behalf, including contracting and paying for platform licenses, promotion services, captioning, and attendee gift shipments ("Carried Costs"). Provider will charge a convenience fee of fifteen percent (15%) of the Carried Costs to carry the costs and contracts. Client will be invoiced separately for the Carried Costs plus the convenience fee, and Client agrees to pay within thirty (30) days of the invoice date. If the webinar is moved or canceled, Client remains responsible for any Carried Costs that the vendor does not refund.

Date changes and credits. Provider wants booking with Ranch Hand Marketing to be easy, so plans can change. (a) Client may change the webinar date up to two (2) times, at no additional management fee, with at least fourteen (14) days written notice, subject to speaker and platform availability. Any vendor change fees are passed through at cost. After two (2) date changes, any further change is treated as a cancellation under (b) or (c). (b) If Client cancels fourteen (14) or more days before the webinar date, the full management fee becomes a credit toward any Ranch Hand Marketing event package booked within eighteen (18) months of the original webinar date. (c) If Client cancels less than fourteen (14) days before the webinar date, fifty percent (50%) of the management fee becomes a credit toward any Ranch Hand Marketing event package booked within twelve (12) months of the original webinar date. (d) Credits may be applied to any package type and transferred to another business unit or team within Client's company. (e) If Provider cancels for any reason other than Force Majeure, the full management fee becomes a credit toward any Ranch Hand Marketing event package booked within eighteen (18) months of the original webinar date. (f) Platform fees, vendor fees, and Carried Costs are governed by each vendor's own terms.

2. AGREEMENT; EFFECTIVE DATE

These Terms take effect when Client completes its purchase (the "Effective Date"). These Terms and the SOW together make up the agreement between the parties (the "Agreement"). If the SOW conflicts with these Terms, the SOW controls.

3. SERVICES AND COMPENSATION

Provider will provide the services described in Section 1 and the SOW (the "Services"). The management fee is nonrefundable in all cases. It may be applied as a credit as stated in Section 1.

4. CLIENT OBLIGATIONS

Client will provide timely information, approvals, invite lists, presentation content, and speaker availability, including attendance at the scheduled rehearsal ("Client Obligations"). If Client cannot meet any Client Obligation, Client will notify Provider promptly. Delays in Client Obligations may require a date change under Section 1.

5. CONTENT, RECORDINGS, AND TECHNOLOGY

Content. Client is responsible for all presentation content, including slides, videos, music, and claims made by its speakers, and for having the rights to use them.

Recordings. Client owns the webinar recording. Client is responsible for any required notice to or consent from speakers and attendees for recording, and Provider will include a standard recording notice on the registration page when requested.

Technology. Provider will test the platform before the live date but does not control the platform provider, internet service, or attendee devices. Provider is not responsible for platform outages, internet disruptions, or attendee connection issues outside Provider's control.

6. TERM; TERMINATION

Term. This Agreement begins on the Effective Date and continues until the Services are complete and all invoices are paid, unless terminated earlier as stated below (the "Term").

Termination. Either party may terminate this Agreement with written notice if the other party materially breaches it and the breach cannot be cured, or if a curable breach is not cured within thirty (30) days after written notice.

Effects of Termination. On termination, all rights and duties of the parties end, except: (i) Client will pay Provider all amounts owed for Services performed and Carried Costs incurred through the termination date; and (ii) the sections titled Confidentiality, Ownership, Indemnification, and Limitation of Liability will survive.

7. CONFIDENTIALITY

During the Term, either party ("Discloser") may share nonpublic, proprietary, or confidential information with the other party ("Recipient") in connection with this Agreement ("Confidential Information"). Confidential Information does not include information that: (i) the Recipient already knew without restriction before receiving it; (ii) is or becomes public through no fault of the Recipient; (iii) the Recipient develops independently without using the Discloser's information; or (iv) the Recipient receives from a third party with no duty of confidentiality. The Recipient will (i) protect the Discloser's Confidential Information with at least the same care it uses for its own sensitive information, and no less than reasonable care; (ii) share it only on a need to know basis with its officers, employees, consultants, and legal advisors who are bound by confidentiality terms at least as protective as these; and (iii) use it only to perform its obligations or exercise its rights under this Agreement. Client's invite lists, registration data, and unreleased presentation content are Client's Confidential Information. Nothing here limits either party's use of its own Confidential Information.

8. LIMITED WARRANTY; DISCLAIMER

PROVIDER WARRANTS THAT IT WILL PERFORM THE SERVICES IN A TIMELY, WORKMANLIKE, AND PROFESSIONAL MANNER CONSISTENT WITH GENERALLY RECOGNIZED INDUSTRY STANDARDS FOR SIMILAR SERVICES. PROVIDER MAKES NO OTHER WARRANTIES AND DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUALITY, ACCURACY, AND TITLE. PROVIDER DOES NOT GUARANTEE ATTENDANCE NUMBERS, REGISTRATIONS, PIPELINE, OR SALES RESULTS FROM ANY WEBINAR OR THIRD PARTY PROMOTION SERVICE. CLIENT'S SOLE REMEDY FOR BREACH OF THIS WARRANTY IS REPERFORMANCE OF THE AFFECTED SERVICES, AND CLIENT MUST REPORT ANY BREACH WITHIN THIRTY (30) DAYS OF PERFORMANCE.

9. OWNERSHIP

Client Materials. Materials Client provides to Provider, including logos, brand assets, presentation content, and invite lists ("Client Materials"), will be used by Provider only to perform the Services. Client represents that it has all rights needed to provide Client Materials, including permission to contact the people on its invite lists, and that Provider's use of them will not infringe any third party's rights.

Provider Materials. Provider keeps ownership of its templates, processes, checklists, and know how. Subject to full payment, Provider grants Client a nonexclusive, royalty free, perpetual, worldwide license to use any webinar materials Provider creates for Client (such as registration pages, email invitations, slide templates, and run of show documents) for Client's internal business purposes.

10. APPROVALS

If Provider sends Client a proof of any webinar material, such as a registration page, email invitation, or slide template ("Sample"), Client will review it for accuracy, including spelling and design, and send written notice of any errors within five (5) business days. If Client does not respond in that time, the Sample is considered approved. Changes requested after approval may incur additional fees.

11. PORTFOLIO USE

Provider will not use the recording, screenshots, Client's name, or Client's logo in its portfolio or marketing without Client's prior written approval.

12. INDEMNIFICATION

Client will indemnify, defend, and hold harmless Provider and its officers, employees, and agents from all losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from any third party claim related to (i) Client Materials, presentation content, or statements made by Client's speakers; (ii) Client's failure to obtain any required recording consent; and (iii) Provider's performance of the Services, except to the extent the claim results from Provider's breach of this Agreement, negligence, or misconduct.

13. LIMITATION OF LIABILITY

EXCEPT FOR BREACH OF THE CONFIDENTIALITY SECTION, CLIENT'S PAYMENT OBLIGATIONS, OR CLIENT'S INDEMNIFICATION OBLIGATIONS: (I) NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EVEN IF FORESEEABLE; AND (II) PROVIDER'S TOTAL LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE MANAGEMENT FEE PAID TO PROVIDER.

14. GENERAL

Independent Contractors. The parties are independent contractors. Neither party may bind the other, except that Provider may sign vendor contracts on Client's behalf under the Cost Carry Option with Client's written approval.

Entire Agreement. This Agreement is the entire agreement between the parties on its subject and replaces all prior agreements and discussions.

Assignment and Subcontracting. Neither party may assign this Agreement without the other party's written consent, which will not be unreasonably withheld. Provider may use subcontractors but remains responsible for their work.

Force Majeure. Except for payment obligations, neither party is liable for delay or failure caused by circumstances beyond its reasonable control, including natural disasters, government orders, widespread internet or power outages, and webinar platform outages. In that case, the full management fee becomes a credit toward a rescheduled webinar booked within eighteen (18) months, and the move does not count toward Client's two (2) date changes.

Governing Law. This Agreement is governed by the laws of the State of Texas. The parties consent to the exclusive jurisdiction of the state and federal courts located in Travis County, Texas.

Severability. If any part of this Agreement is found unenforceable, the rest remains in effect.

Changes and Waivers. Changes to this Agreement must be in writing and signed by both parties. Waiving one breach does not waive any other.

Notices. Notices must be in writing and are considered given (a) when delivered by hand; (b) when received by nationally recognized overnight courier; (c) on the date sent by email if sent during business hours, or the next business day if sent after hours; or (d) three days after mailing by certified mail, return receipt requested. Notices go to the addresses in the SOW.
